О представлении в банки информации об организациях, зарегистрированных на адресах массовых регистраций
Федеральная налоговая служба доводит до налоговых органов следующую информацию.
Пунктами 1, 3 статьи 7 Федерального закона от 07.08.2001 N 115-ФЗ "О противодействии легализации (отмыванию) доходов, полученных преступным путем, и финансированию терроризма" (далее - Федеральный закон N 115-ФЗ) предусмотрена безусловная обязанность банков, как организаций, осуществляющих операции с денежными средствами, идентифицировать клиентов, находящихся на обслуживании, и устанавливать, в том числе в отношении юридических лиц, их наименование, место государственной регистрации и адрес места нахождения, а также систематически обновлять такую информацию о клиентах, зарегистрированных на адресах массовых регистраций.
В связи с этим в договорах банковского счета банки стали предусматривать обязанность клиентов представлять такую информацию при открытии счета и при изменении указанных идентификационных признаков “адрес массовой регистрации” сообщать об этом банку в кратчайшие сроки с момента их изменения.
Порядок и основания расторжения договора банковского счета по требованию банка регламентированы пунктом 2 статьи 859 Гражданского кодекса Российской Федерации.
Вместе с тем наличие специальной нормы, регулирующей расторжение договора банковского счета, не исключает возможность применения общих норм главы 29 Гражданского кодекса Российской Федерации, касающихся изменения и расторжения договоров.
Согласно подпункту 1 пункта 2 статьи 450 Гражданского кодекса Российской Федерации по требованию одной из сторон договор может быть изменен или расторгнут по решению суда только при существенном нарушении договора другой стороной.
Учитывая важность для банков информации об идентификационных признаках клиентов, определяемых статьей 7 Федерального закона N 115-ФЗ, и корреспондирующие им условия договоров банковского счета, определяющие обязанность клиентов в кратчайшие сроки информировать банк об изменении своих идентификационных признаков, в том числе об изменении адреса, непредставление сведений об изменении местонахождения юридического лица можно квалифицировать как существенное нарушение договора банковского счета и может служить основанием для расторжения банком договора банковского счета по решению суда.
Вышеизложенная позиция отражена в Постановлении Президиума Высшего Арбитражного суда Российской Федерации от 27.04.2010 N 1307/10 и применяется судами при рассмотрении аналогичных дел.
В связи с изложенным, при выявлении признака массовой регистрации юридического лица по адресу, который по данным ЕГРЮЛ является адресом регистрации этого юридического лица, ФНС России поручает в 10-дневный срок с момента выявления таких фактов доводить информацию о них до банков, с целью блокировки расчетных счетов.
Управлениям Федеральной налоговой службы по субъектам Российской Федерации необходимо довести настоящее письмо до нижестоящих налоговых органов и обеспечить его исполнение.
